Trustee Job Description

Purpose Working in conjunction with other members of the Board, to further the aims of the charity by keeping within its charitable objectives.

Main Tasks

  • To take part in formulating, regularly reviewing, and approving the strategic aims and objectives to Potential Plus UK
  • To ensure that the policy and practices of the charity are in keeping with its aims as defined in the Memorandum and Articles of Association
  • To ensure that Potential Plus UK functions within its legal and financial requirements as both a charitable organisation and a company limited by guarantee.

Main Duties

  1. Formulating Strategic Aims
    • to ensure that the objectives of the charity are central to the development of the annual plan and budget
    • to reflect Potential Plus UK’s vision and principles, strategy and major policies when making decisions on governance, ensuring such decisions are consistent with the Memorandum and Articles of Association
    • to contribute agreed skill sets, interest and contacts, and support the charity in all its external activities
  2.  Ensuring policies and practices are in keeping with the charity’s aims
    • to safeguard the good name and values of Potential Plus UK in all documentation on policy and its practical applications
    • to follow the agreed Code of Conduct at all times, particularly when exercising the functions of a Trustee on any of its committees or working parties
    • to reflect the Board’s policies and concerns on all its committees and working parties
  3. Ensuring best practice
    • to be an active member of the Board by attending all meetings (unless legitimately unable) and contributing to discussion and decision making
    • to maintain good relations with senior management staff
    • to ensure the effective and efficient management of Potential Plus UK via the regular reporting structure from the Director
    • to ensure prudent and effective financial management is exercised via the regular reporting structure from the Director
    • to take part in at least one external training session and all internal sessions provided for the benefit of the Trustees each year
    • to fulfil such other duties and assignments as may be required from time to time by the Board
  4. Compliance with Companies Act 2006 (ss 171 – 177). Potential Plus UK is registered as a Company limited by guarantee under its charity name of the National Association for Gifted Children. The Director (Trustees) of Potential Plus UK are therefore required to adhere to the following guidelines:
    • Duty to act within the company’s powers
    • Duty to promote the success of the company
    • Duty to exercise independent judgment
    • Duty to exercise reasonable care, skill and diligence
    • Duty to avoid conflicts of interest
    • Duty not to accept benefits from third parties
    • Duty to declare interest in proposed transaction or arrangement with the company

In addition to the above statutory duties all Trustees should use any specific knowledge and experience they have to help the Board reach sound decisions. This will involve:

  • Scrutinising Board papers
  • Contributing to, and sometimes leading, discussions
  • Focusing on key issues as determined by the Board
  • providing advice and guidance requested by the Board on new initiatives or other public issues relevant to the area of the charity’s work in which the member has specific expertise

  • A commitment to the cause and ethos of the charity
  • Integrity
  • A willingness to devote the necessary time and effort to fulfil the job description
  • Good, independent judgement
  • An ability o think creatively
  • A willingness to speak openly in a non-confrontational way
  • An understanding and acceptance of the legal duties, responsibilities and liabilities
  • An ability to work effectively as a team member
  • No conflict of interest with Potential Plus UK
  • A standard disclosure check with the CRB, if not already checked, and evidence provided to the Director
